英文合同屬于法律文體，即“莊重文體”(frozen style)或正式文體，是各種英語(yǔ)文體中規(guī)范程度最高的一種，其用語(yǔ)通常正式保守。合同用詞通常選擇意義明確、不含歧義的詞語(yǔ)，以免引起不必要的誤解或糾紛。合同英語(yǔ)有著嚴(yán)肅的風(fēng)格，合同用詞不以大眾是否理解和接受為轉(zhuǎn)移，它是合同語(yǔ)言準(zhǔn)確表達(dá)的保障。因此英文合同的正式、嚴(yán)謹(jǐn)還體現(xiàn)在合同中使用大量的書(shū)面語(yǔ)詞匯。例如submit, confirm, endorse, abide by, maintain, promote等詞都是非常正式的書(shū)面語(yǔ)詞匯。這些詞比較正式，莊重，在其它文體中較少使用，沒(méi)有什么聯(lián)想意義，詞義明確，符合合同這一文體對(duì)語(yǔ)言嚴(yán)謹(jǐn)?shù)囊?。此外，英文合同中常使用以下詞匯（括號(hào)中的詞是常用詞匯，一般不出現(xiàn)在合同中）：amend（change, correct）“修改”，assist (help)“幫助”， advise（tell）“通知”， commence （begin或start）“開(kāi)始”，employ（use）“使用”， cease to do （stop doing） “停止做”， convene (hold, call ) “召開(kāi)”， construe（explain, interpret）“解釋”， deem (think, believe，consider )“認(rèn)為”， render (give)“給予，提供”，rescind （cancel）“撤消”， terminate（end）“終止”， partake in（join） “參與”， require（ask）“要求”， surrender（give）“遞交”， consent （agreement）“同意”， indemnities (compensation )“賠償”， conveyance （transfer of real estate） “不動(dòng)產(chǎn)轉(zhuǎn)讓”， prior to（before）“在……之前”，provided that（but）“但是”， in accordance with（according to）“按照”，by virtue of (due to, because of )“因?yàn)椤保?as regards/ concerning /relating to (about )“關(guān)于”， in effect (in fact) “事實(shí)上”， miscellaneous (other matters) “其他事項(xiàng)”， pursuant to （according to ）“依照/按照”等。這些正式的詞語(yǔ)使合同這種法律性文件顯得鄭重、嚴(yán)肅，表現(xiàn)出法律的威嚴(yán)。例如：8. at the request of party b, party a agrees to send technicians to assist

party b to install the equipment.（應(yīng)乙方要求，甲方同意派遣技術(shù)人員幫助乙方安裝設(shè)備。）

此句中assist 較 help 正式；9. the employer shall render correct technical guidance to the personnel.（雇主應(yīng)該對(duì)有關(guān)人員給予正確技術(shù)指導(dǎo)。） 此句中render 較 give 正式；10. this contract shall be governed by and construed in accordance with the laws of china.（本合同受中國(guó)法律管轄，并按中國(guó)法律解釋。）此句子中construe 較 explain, interpret 正式。
