將合約中所牽涉到的特定用語(yǔ)加以定義，是很重要的工作，目的在將語(yǔ)言有限的精確性提升到最高，盡量限制對(duì)同一詞語(yǔ)作出不同解釋的可能性，以避免法律關(guān)系的模糊不清引發(fā)爭(zhēng)議。例如專(zhuān)利權(quán)授權(quán)契約的當(dāng)事人對(duì)于營(yíng)業(yè)秘密的保護(hù)，可能有以下的約定：

the licensee shall not divulge to any third person any trade secret having to do with the business of the licensor that shall come to the knowledge of the licensee by reason of this agreement, during the term of this agreement and for three years after the termination of this agreement.

被授權(quán)人于本合約期間及本合約終止后三年內(nèi)期間，不得將因本合約而得知授權(quán)人之營(yíng)業(yè)秘密，泄露給任何其它第三人。

這樣的約定看起來(lái)已經(jīng)很完整了，除了 licensee、licensor 及 agreement這幾個(gè)大寫(xiě)詞通常會(huì)在這個(gè)條款出現(xiàn)于合約之前，就給予適當(dāng)?shù)亩x以外，還有什么概念需要定義呢？問(wèn)題就出在于 any third person 里面的 person 這個(gè)概念，究竟范圍如何？"自然人"包括在內(nèi)或許沒(méi)有問(wèn)題，但是"法人"屬于這里所說(shuō)的 person 嗎？或許依照合約上下文可以推知，當(dāng)事人的意思里 person 包括"公司"，那么"合伙組織"算不算是這個(gè)條款里要規(guī)范的 person 呢？為避免這種解釋上的困擾，同時(shí)也為避免意圖違約的當(dāng)事人玩文字游戲，當(dāng)事人就會(huì)考慮在合約第一條加入以下的定義條款：

"person" means－

(i) a natural person & and any corporation or other entity which is given, or is recognized as having, legal personality by the law of any country or territory; or
(ii) any unincorporated association or unincorporated body of persons, whether formed in the united kingdom or elsewhere, including a partnership, joint venture or consortium.

本合約所稱(chēng)“人”包括：
(i) 自然人、法人、或依照任何國(guó)家或領(lǐng)域之法律，享有法人格之主體。
(ii) 在英國(guó)或其它地域所組成之非法人組織，例如合伙組織、合資組織、財(cái)團(tuán)組織等等。

& individual

如果要特別表示“自然人”（natural person），而排除“法人”的概念，通常會(huì)使用 individual來(lái)代替 person 這個(gè)字，可以減少疑義。
依照同樣的道理，英文合約中常常出現(xiàn)的，還有以下對(duì)于“單、復(fù)數(shù)”及“陰、陽(yáng)性”名詞的范圍定義：
"stock certificate" includes "stock certificate" and "stock certificates".
"he" includes "he" and "she".
"his" includes "his" and "her".
"him" includes "him" and "her".
本合約所稱(chēng)“股票”，包括單數(shù)與復(fù)數(shù)。
本合約所稱(chēng)“他”，包括“他”與“她”。
本合約所稱(chēng)“他的”，包括“他的”與“她的”。
本合約所稱(chēng)“他（賓格）”，包括“他（賓格）”與“她（賓格）”。
