　　3. 英文合約的傳統(tǒng)用語(yǔ)

　　英文合約里包含大量古老的制式用語(yǔ)，成為初次接觸者的困難之一，已如前述。本節(jié)嘗試在進(jìn)入各種一般性主文條款的介紹之前，將最常出現(xiàn)的這些傳統(tǒng)字眼依理解之難易程度分成兩類做說(shuō)明及舉例，等于是一個(gè)準(zhǔn)備工作，希望盡可能降低它們對(duì)讀者閱讀的阻礙，讓讀者的注意力能及早集中在合約的實(shí)體權(quán)利義務(wù)關(guān)系規(guī)范上，而不再被這些傳統(tǒng)的語(yǔ)句所困擾，以免減緩認(rèn)識(shí)英文合約的進(jìn)度。

　　第一類："here"+介系詞

　　第一類以"here"開(kāi)頭，后面再加上一個(gè)介系詞的傳統(tǒng)用字，在英文合約里經(jīng)?？梢钥吹剑蟾虐?quot;hereunder"、"hereto"、 "hereby"、"hereof"、"herein"等等這幾個(gè)字。依照作者的看法，這是比較容易處理的一類，因?yàn)橹灰x者記住一個(gè)簡(jiǎn)單的原則：「"here"+介系詞 = 介系詞+"this agreement"」，就幾乎可以解讀所有的第一類用語(yǔ)了。以下來(lái)詳細(xì)看看這個(gè)原則的運(yùn)用情形。(注意："hereinafter"在定義條款中用來(lái)表示「以下簡(jiǎn)稱……」的意思，雖然也用"here"為前綴，但與這里所說(shuō)的傳統(tǒng)用語(yǔ)無(wú)關(guān)，詳見(jiàn)第貳編之伍「定義條款」。)

　　—— "hereunder" = "under this agreement"

　　"hereunder"用"under this agreement"代替后，就很清楚地可以了解是「在本合約內(nèi)」、「依據(jù)本合約」的意思。常和這個(gè)字結(jié)合的概念有如下幾個(gè)例子：

　　因?yàn)橛⑽奈姆ɡ飳?duì)介系詞"to"有某些一定的用法(例如動(dòng)詞"attach"后面接受詞時(shí)，就要用介系詞"to")，所以這個(gè)字最常出現(xiàn)在英文合約里的狀況，就是和「當(dāng)事人」以及「附件」兩個(gè)概念相結(jié)合：

　　"hereby"中文大概可以說(shuō)是「在此」、「依此」的意思，表示當(dāng)事人借著這個(gè)合約，要宣示某種具有法律上效力的「意思表示」，例如保證、同意、放棄權(quán)利等等。

　　the company hereby covenants and warrants & that…… by this agreement the company covenants and warrants that…… 公司在此保證……

　　both parties hereby agree that…… by this agreement both parties agree that…… 雙方當(dāng)事人在此同意……

　　—— "hereof" = "of this agreement"; "herein" = "in this agreement"

　　"hereof" 和"herein"與前面介紹過(guò)的"hereunder"、"hereto"以及"hereby"比較起來(lái)，可能的用法與場(chǎng)合較廣泛，所連接的概念也比較沒(méi)有固定性，同時(shí)在很多情況下"hereof"和"herein"相互代換使用，意思上并不會(huì)有很大的差別。由于"of"和"in"是比較普通易懂的介系詞，只要讀者繼續(xù)掌握前面一貫的原則，應(yīng)該不會(huì)有什么理解上的困難。

　　第二類："thereof, thereto……"與"the same"

　　以"there"為前綴再加上介系詞，例如"thereof"、"thereto"等用語(yǔ)，以及"the same"這一類的用語(yǔ)比較不容易處理，因?yàn)樯厦娼榻B的原則無(wú)法直接套用，而必須靠讀者自己依照合約的上下文來(lái)判斷。我們來(lái)看看下面兩個(gè)例子：

　　例一： no change in or modification of this agreement shall be valid unless the same is made in writing. (本約之修改需以書(shū)面為之，始生效力。)

　　例二： this agreement is written in the english language. in case of any discrepancy between the english version and any translation thereof, the english text shall govern. (本約以英文訂定，與其它語(yǔ)言之翻譯版本解釋上生差異者，以英文為主。)

　　讀者從上下文應(yīng)該可以推敲出來(lái)，例一里的"the same"指的是「合約的修改」，也就是前面的"change in or modification of this agreement"這些字句，合約撰寫人為了避免文句重復(fù)造成閱讀負(fù)擔(dān)與篇幅冗長(zhǎng)，于是就簡(jiǎn)單用"the same"兩個(gè)字來(lái)代替。(換句話說(shuō)，如果不用"the same"的方法，整句話應(yīng)該是："no change in or modification of this agreement shall be valid unless the change in or modification of this agreement is made in writing.")

　　至于例二里的"thereof"，也可以從上下文看出來(lái)是代替 "of the english version" 這幾個(gè)字。這和第一類的"hereof"其實(shí)有類似的解讀方法，但是"hereof"的"here"通常都可以用"this agreement"來(lái)代替，但是 "thereof" 的 "there" 要用什么代替，就沒(méi)有一定的規(guī)則了，在例二"there"代替的是"the english version"，在別的地方卻又代替其它的概念，這就是第二類用語(yǔ)為什么較第一類來(lái)得困難的原因了。

　　上面舉的兩個(gè)例子，其實(shí)都算是比較容易掌握的條款，有些英文合約里將"thereof"、"the same"等字眼大量運(yùn)用在各種不同的地方，究竟代表什么意義，除了細(xì)心推敲上下文，靈活思考該合約所要規(guī)范的法律邏輯關(guān)系外，恐怕還得靠讀者累積大量的英文合約處理經(jīng)驗(yàn)，以及平時(shí)一般英語(yǔ)分析能力的加強(qiáng)，才有辦法得心應(yīng)手了。
